What is beneficial ownership?
The shareholder named on a register and the person who actually benefits from a company coincide when ownership is simple - and diverge the moment a holding company, nominee, or trust sits in between.

Beneficial ownership - The natural person(s) who ultimately own or control a company, as distinct from whoever is formally named as the shareholder of record - the two are the same fact only when ownership is direct.
Shareholder of record vs. beneficial owner
If a person directly holds shares in a company, they're both the shareholder of record and the beneficial owner - one fact, one name. The distinction only matters once a corporate entity sits in the shareholder's place: the register names the holding company, not the person who actually controls that holding company. Beneficial ownership is the answer once you keep going past that entity to whoever's actually behind it.
Why this is a compliance requirement, not just a curiosity
AML law requires obliged entities to identify a business customer's beneficial owners, not just its named shareholders - because a shareholder list alone can hide who's really involved, whether deliberately or as a byproduct of ordinary corporate structuring. See beneficial ownership compliance.
Direct vs. indirect ownership
Direct ownership is a straight line: a person holds shares in the company itself. Indirect ownership runs through one or more intermediate entities - a person owns a holding company, which owns the company in question. Both count toward beneficial ownership; indirect ownership simply requires resolving the chain rather than reading a single register entry.
How much ownership counts

Resolving the chain in practice
The process of actually walking from a company down to its beneficial owners is called ownership resolution. Confirming the result at a point in time is UBO verification.
